Terms and Conditions
Last updated October 23, 2026 · ElevateAI
These Terms are the master agreement between you and ElevateAI. They cover who can use the platform, how billing and cancellation work, who owns what, what we do and don't promise, the limits of our liability, and how disputes are resolved. Rates and fee amounts are not in this document; they are in the Pricing and Fees Schedule, which is part of this agreement.
1. About these terms
1.1 We are ElevateAI ("ElevateAI", "we", "us" or "our"), a company registered in Delaware, United States, with its principal address at 8 The Green, Ste R, Dover, Delaware 19901, United States.
1.2 These Terms and Conditions (the "Terms") are a binding agreement between ElevateAI and you, whether you use the Services personally or for a business ("you"). By accessing or using the Services you confirm that you have read, understood and agreed to these Terms. If you do not agree, do not use the Services.
1.3 The Services are for people aged 18 or over. If you are under 18, you may not register for or use the Services.
1.4 You can reach us by phone at +1 212 287 9171, by email at legal@elevatenext.ai, or by mail at 8 The Green, Ste R, Dover, Delaware 19901, United States. Section 28 explains which address to use for what.
2. Definitions
2.1 "Services" means our website at elevatenext.ai (the "Site"), our CRM web application at crm.elevatenext.ai, our mobile applications (the "Apps"), and any other ElevateAI product, feature or service that refers or links to these Terms.
2.2 "Content" means material we provide in or through the Services, including software, source code, databases, designs, text, audio, video, images and graphics, together with our trademarks, service marks and logos (the "Marks").
2.3 "Customer Data" means the data you and your authorized users submit to, store in or generate through your account, including the contact records of your own customers and prospects.
2.4 "Contribution" means any content you post, upload, transmit or otherwise make available through the Services, such as text, images, audio, video, reviews, comments and messages. "Submission" means any question, comment, suggestion, idea or other feedback about the Services that you send to us.
2.5 "AI Features" means the AI-powered capabilities of the Services, including content generation, conversation and voice AI, review responses, funnel generation and similar features.
2.6 Terms defined here have the same meaning in the other documents listed in Section 5, unless that document says otherwise.
3. Eligibility, registration and account security
3.1 When you register, you agree to give true, accurate, current and complete information and to keep it up to date. If you don't, we may suspend or terminate your account.
3.2 By using the Services you confirm that: (a) you have the legal capacity to enter into these Terms; (b) you are not a minor where you live; (c) you will not access the Services by automated or non-human means except through interfaces we provide for that purpose; and (d) your use of the Services will not break any applicable law.
3.3 You must keep your credentials, access tokens and API keys confidential, and you are responsible for all activity under your account, including by your authorized users. Tell us promptly at legal@elevatenext.ai about any unauthorized access or security incident. Do not share credentials outside your organization.
3.4 We may remove, reclaim or change a username we reasonably consider inappropriate or objectionable.
4. The services
4.1 The Services are a software-as-a-service platform for sales, marketing, customer relationship management, automation and communications. We may add, change or retire features as described in Section 20.
4.2 The Services are not intended for use where that use would be unlawful or would subject us to registration requirements. If you access the Services from outside the United States, you do so on your own initiative and are responsible for complying with local law.
4.3 Some regulated uses are restricted or prohibited. The Acceptable Use Policy is the sole source of truth for prohibited business categories and restricted regulated uses, including uses subject to healthcare, financial-services and similar industry rules.
4.4 Fair use of "unlimited" features. To keep the platform reliable, we may apply usage thresholds to features marketed as "unlimited" where use materially exceeds typical customer patterns, degrades performance, or creates security or abuse risk. Before restricting your use we will give you notice and a proposed remedy (such as rate limits, a plan change or additional fees under the Pricing and Fees Schedule), unless immediate action is needed to protect the platform.
4.5 Service management. We may, but don't have to: monitor the Services for breaches of these Terms; restrict or disable Contributions or files that are unlawful, harmful or burdensome to our systems; and otherwise manage the Services to protect our rights and the proper running of the platform.
5. Incorporated documents and order of precedence
5.1 These documents form part of your agreement with us, each governing its own subject:
- (a) these Terms, the master agreement;
- (b) the Pricing and Fees Schedule, an annex to these Terms that controls rates, overages, metering and fee mechanics;
- (c) the Acceptable Use Policy, the sole source of truth for prohibited conduct, prohibited business categories and AI-use restrictions;
- (d) the Data Processing Agreement, which controls the processing of personal data;
- (e) the Affiliate Program Agreement and the End User License Agreement, supplemental agreements that apply only to affiliate program participants and to users of our mobile apps respectively.
5.2 If these documents conflict, they apply in this order: (1) these Terms; (2) the Acceptable Use Policy, for prohibited conduct, prohibited business categories and AI-use restrictions; (3) the Data Processing Agreement, which prevails over these Terms on personal-data processing only; (4) the Pricing and Fees Schedule, for rates and fee mechanics; (5) the Affiliate Program Agreement and End User License Agreement, for their own participants and software.
5.3 Our Privacy Notice and Cookie Policy explain how we handle personal information. They are disclosures rather than contracts, but please read them.
6. Our intellectual property; your license to use the services
6.1 We own or license all intellectual property rights in the Services, the Content and the Marks. They are protected by copyright, trademark and other laws in the United States and elsewhere.
6.2 As long as you comply with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and use the Content for your internal business purposes. Except as this section allows or with our prior written permission (ask at legal@elevatenext.ai), you may not copy, reproduce, republish, distribute, sell, license or otherwise exploit the Services, Content or Marks commercially.
6.3 Reports, graphics, documents and other materials generated in your account using our technology are for use within your account by you and your authorized users. You may not transfer or use them outside the platform except as these Terms allow or with our written consent. This does not apply to your Customer Data, including contact records, which you may export under Section 7.1.
6.4 Any breach of this Section 6 is a material breach of these Terms, and your right to use the Services ends immediately.
7. Your content, submissions and contribution license
7.1 Your Customer Data is yours. You keep all rights in it. You may export contact records (such as names, phone numbers and email addresses) at any time, as long as the export and your later use comply with privacy law and the Acceptable Use Policy. We process Customer Data containing personal data as described in the Data Processing Agreement.
7.2 License to operate the Services. You grant us the rights we need to host, store, process, transmit, back up and display your Customer Data and Contributions, solely to provide, secure and improve the Services and to meet our legal obligations.
7.3 Public Contributions. If you post Contributions in public or shared areas (such as communities, forums or reviews), you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, host, copy, reproduce, distribute, publicly display, reformat, translate and excerpt them, including any name, image and voice they contain, to operate and promote the Services. You keep ownership.
7.4 Your responsibility for Contributions. You alone are responsible for what you post. You confirm your Contributions are your own or that you have the rights to post them, that they infringe no one's rights, and that they comply with the Acceptable Use Policy. We may remove or restrict any Contribution we reasonably consider harmful or in breach of these Terms.
7.5 Submissions. By sending us a Submission you assign to us all intellectual property rights in it, and we may use it for any lawful purpose without payment or credit. Don't send us anything you consider confidential.
8. Fees, billing and payment
8.1 You agree to pay all fees for your subscription, add-ons and usage-based features at the rates in the Pricing and Fees Schedule. These Terms state no rates; if a figure elsewhere conflicts with the Schedule, the Schedule controls.
8.2 We accept major credit and debit cards and the other payment methods offered at checkout through our payment processor. All payments are in US dollars.
8.3 You authorize us to charge your chosen payment method for all amounts due, including recurring subscription charges, add-on charges and usage charges as they accrue, and you agree to keep your payment and contact details up to date.
8.4 Fees exclude taxes. You are responsible for applicable taxes and surcharges as described in the Pricing and Fees Schedule.
8.5 We may correct pricing or billing errors, even after requesting or receiving payment. Rate changes are governed by the Pricing and Fees Schedule.
8.6 If an amount due is not paid, we may suspend or terminate the Services under Section 19 after notice, and you remain responsible for the unpaid amount.
9. Subscriptions, renewal and cancellation
9.1 Subscriptions renew automatically at the end of each billing cycle until cancelled. You consent to recurring charges to your payment method without separate approval for each charge.
9.2 An account administrator may cancel at any time by either (a) logging in at crm.elevatenext.ai, going to Settings, then Company Billing, and using the subscription option; or (b) by visiting our billing portal at billing.stripe.com/p/login/dRm00kcnhfYJ7Z788uenS00, confirming the subscription email address with a one-time login link, and cancelling there.
9.3 Cancellation requests sent by text message, email or phone are not valid; cancellation must be completed through one of the methods in Section 9.2. For billing questions, contact billing@elevatenext.ai.
9.4 Cancellation takes effect at the end of the current paid billing term, and you keep access until then. Fees already paid are non-refundable, and there is no credit for partial billing periods.
10. Account data on cancellation and termination
10.1 Export your data before cancellation takes effect. Once cancellation or termination takes effect, your account, your Customer Data and all associated services and integrations (including phone numbers, email domains, custom domains, calendar links, automations, payment integrations and third-party connections) are permanently deleted and deactivated on the schedule in the Data Processing Agreement, Section 12. Deleted data cannot be recovered.
10.2 If you subscribe again later, a new account is created without data, settings, integrations or configurations from any previous account, and previous phone numbers, domains or configurations may not be available.
10.3 While your account is active we make routine backups for platform recovery, but you are responsible for keeping your own copies of Customer Data. The Services include export tools and APIs for this.
11. Account ownership; no transfers
11.1 Each account is owned and controlled by the original account holder, who may give access to authorized users in their organization and remains responsible for all activity in the account.
11.2 You may not transfer, assign, sell, lease or share your account with anyone outside your organization without our prior written authorization. Unauthorized transfer or sharing may lead to immediate termination, and we may pursue any available legal remedies.
12. Acceptable use
12.1 Your use of the Services must comply with the Acceptable Use Policy, which (not these Terms) defines prohibited conduct, prohibited business categories, messaging and email rules, AI-use restrictions, content standards and your compliance responsibilities.
12.2 Breaching the Acceptable Use Policy is a breach of these Terms and may lead to the enforcement actions in that policy and in Section 19.
13. Messaging and telephony services
13.1 Messaging and calling depend on telecom carriers, registration frameworks (such as A2P 10DLC) and third-party providers. You authorize us to configure, provision or revoke these as needed to deliver or secure the Services. Registration, verification or other compliance steps may be required before you can send messages or place calls.
13.2 Carriers and providers apply their own filtering, sending limits and deliverability controls, and we apply platform-level limits and protections that may change and are described in our product documentation. We do not guarantee that any message or call will be delivered.
13.3 The rules for messaging and calling (consent, opt-out, sender identification and content restrictions) are set out in the Acceptable Use Policy, and you must follow them.
14. Third-party services, pass-through terms and dependencies
14.1 The Services are built on and integrate with third-party providers, including HighLevel, Twilio (or equivalent telephony providers) and OpenAI (or equivalent AI providers). You agree to comply with applicable third-party terms, acceptable use policies and codes of conduct as updated. Where a third party's terms are stricter than these Terms for a feature, the stricter terms govern your use of that feature.
14.2 If a third-party provider changes its pricing, policies or technical requirements, we may adjust our pricing under the Pricing and Fees Schedule or modify the affected features.
14.3 Some features need third-party services such as domain registrars, messaging carriers, email delivery networks and AI model providers. We don't control them and are not responsible for their actions, outages or performance.
14.4 The Services may link to third-party websites or content. We don't monitor or endorse them; your use of them is at your own risk and governed by their terms.
14.5 If you connect a third-party account (for example a social media or advertising account), you confirm you are entitled to give us access to it, and you can disconnect it at any time in your settings. Your relationship with that provider is governed only by your agreement with them.
15. AI features and responsibility for outputs
15.1 AI Features produce automated, probabilistic outputs that may contain errors, omissions, or inaccurate, biased or inappropriate content.
15.2 You alone are responsible for checking AI outputs for accuracy, appropriateness and legal compliance before using or publishing them. Do not rely on AI outputs for legal, medical, financial or other professional advice.
15.3 Restrictions on how you may use AI Features are set out in the Acceptable Use Policy.
16. Virtual assistant services
16.1 Scope. We offer virtual assistant ("VA") services as an optional subscription for general business support such as CRM updates, data entry, appointment scheduling, lead organization, research and admin. VAs do not do outbound or cold calling, sales closing, or work requiring a professional license, and they do not provide legal, tax, financial or medical services.
16.2 Hours and rates. VA plan hours, increments, rollover rules and the rate for extra hours are in the Pricing and Fees Schedule. Work pauses when your monthly hours run out unless you buy more.
16.3 Working practices. Task requests are submitted through our project-management tool, and scheduled meetings (if your plan includes them) take place by video call. We do not guarantee turnaround times; delivery depends on task scope, queue volume and your responsiveness.
16.4 Your responsibilities. You must give VAs the access, instructions, credentials and paid tools they need. VAs will not use personal accounts to access your systems. You agree to review and approve all VA work before using it; we are not responsible for errors caused by your instructions or third-party platform limits.
16.5 Conduct. You agree to treat VAs respectfully and professionally. Abuse, harassment, discrimination or threats will lead to suspension or termination of VA services without refund.
16.6 Independent contractors. VAs are contracted service providers, not your employees, and you have no authority over their employment terms or pay.
16.7 Non-solicitation. You agree not to hire, solicit or engage directly any VA assigned to you, during the service and for 24 months after cancellation. A breach results in a contractual fee of $10,000 per VA as liquidated damages.
16.8 Termination. You may cancel VA services at any time. Unused hours are not refunded. We may end VA services for policy breaches, non-payment, unlawful activity or abusive conduct.
16.9 VA services are best-effort business support with no guarantee of results, revenue or business performance, and the disclaimers in Section 22 apply to them.
17. Mobile applications
17.1 Downloading and using the Apps on iOS and Android is governed by the End User License Agreement, which includes the license grant, restrictions and the terms Apple and Google require. These Terms continue to apply to your use of the Services through the Apps.
18. Copyright infringement claims
18.1 We respect others' intellectual property. If you believe material available through the Services infringes a copyright you own or control, tell us at legal@elevatenext.ai or at the mailing address in Section 28, with enough detail for us to find and assess it.
18.2 We may forward your notice to the person who posted the material. Materially misrepresenting that content infringes can make you liable for damages, so if you're unsure, consider speaking to a lawyer first.
19. Term, suspension and termination
19.1 These Terms apply for as long as you use the Services.
19.2 We may suspend or terminate your access to all or part of the Services if: (a) you materially breach these Terms or the Acceptable Use Policy; (b) you fail to pay amounts due after notice; (c) your use creates a security, legal or operational risk to us, other customers or third parties; or (d) the law, or a carrier, platform or provider the Services depend on, requires it. Where practicable we will give notice and a chance to fix the problem first; where the breach is serious or ongoing harm is likely, we may act immediately.
19.3 If we terminate your account for breach, you may not register a new account, in your own or anyone else's name, without our written permission.
19.4 On termination, your data is handled under Section 10, amounts you owe become immediately due, and the sections that by their nature should survive (including Sections 6, 7.5, 10, 18 and 21 to 26) survive.
20. Changes to the services and to these terms
20.1 We may change, add or retire features at any time. We are not liable for any modification, suspension or discontinuance of the Services, but this does not shorten a paid subscription period you have already bought.
20.2 We may revise these Terms from time to time by posting the new version on this page with a new date, and for material changes we will give reasonable advance notice by email or in-app message. Continuing to use the Services after the new version takes effect means you accept it. If you don't, stop using the Services and cancel under Section 9.
21. Chargebacks and billing disputes
21.1 If you think a charge is wrong, contact billing@elevatenext.ai within 30 days of the charge. We will investigate and respond within a commercially reasonable time.
21.2 Filing a chargeback without first following Section 21.1 may lead to suspension of the Services. If a chargeback is filed, you remain responsible for the underlying amount plus processor fees, reasonable collection costs and attorneys' fees, and access may be restored only once the balance is paid in full.
21.3 You may not withhold or offset amounts due under these Terms because of any claim against us.
22. Disclaimer of warranties
22.1 The Services, including all AI Features, virtual assistant services, Content and software, are provided "as is" and "as available". You use them at your own risk. To the fullest extent the law allows, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
22.2 Without limiting Section 22.1, we do not warrant that: (a) the Services will be uninterrupted, error-free or secure; (b) any message, call or email will be delivered; (c) AI outputs will be accurate, complete or free of bias or objectionable content; (d) your use of the Services will comply with any law, regulation or industry standard that applies to your business; or (e) any third-party service, provider or content will be available, accurate or reliable. We do not provide legal advice.
22.3 No uptime guarantee applies unless stated in a separate written service level agreement signed by ElevateAI. Scheduled or emergency maintenance may happen without prior notice.
22.4 Some jurisdictions do not allow certain warranties to be excluded. If those laws apply to you, some of these exclusions may not apply and you may have additional rights.
23. Limitation of liability
23.1 To the maximum extent the law allows, ElevateAI and its members, managers, officers, employees and agents will not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, loss of data, loss of goodwill or the cost of substitute services, arising from or relating to the Services or these Terms, even if advised of the possibility. This includes damages from AI outputs, message or call non-delivery, data loss or third-party services.
23.2 To the maximum extent the law allows, our total liability for all claims arising from or relating to the Services or these Terms, whatever the form of action, will not exceed the amounts you paid us in the one (1) month before the event giving rise to the claim.
23.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law. Where the law doesn't allow certain limits, these limits apply only to the extent permitted.
23.4 This Section 23 sets the single liability cap for your whole relationship with ElevateAI. Our other agreements refer to this cap and do not set their own.
24. Indemnification
24.1 You agree to defend, indemnify and hold harmless ElevateAI and its affiliates, members, managers, officers, agents, partners and employees against any loss, damage, liability, claim or demand, including reasonable attorneys' fees, made by a third party arising from: (a) your Customer Data or Contributions; (b) your use of the Services; (c) your breach of these Terms or the Acceptable Use Policy; (d) your violation of any law or of anyone's rights, including intellectual property and privacy rights; or (e) communications you send or cause to be sent through the Services.
24.2 We may take over the exclusive defense and control of any matter you must indemnify, at your expense, and you agree to cooperate. We will make reasonable efforts to tell you about any such claim when we learn of it.
25. Governing law
25.1 These Terms and your use of the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
26. Dispute resolution and class action waiver
26.1 Talk to us first. Before starting any formal proceeding, you and we agree to try to resolve any dispute informally for at least 30 days from when one party sends the other written notice of it (to us: legal@elevatenext.ai).
26.2 Mediation. If that doesn't resolve it, either party may refer the dispute to mediation before a mutually agreed mediator in Dover, Delaware. The parties share the mediator's fees equally and take part in good faith.
26.3 Courts. If mediation doesn't resolve the dispute, it must be brought only in the state or federal courts located in the State of Delaware. You and we consent to those courts' personal jurisdiction and waive any objection to venue there.
26.4 Class action waiver. To the fullest extent the law allows, all disputes will be resolved individually. Neither party may bring or take part in a class, collective or representative action against the other.
26.5 Time limit. Any claim relating to the Services must be brought within one (1) year after it arises, or it is permanently barred, to the extent the law allows this limit.
26.6 Exceptions. Sections 26.1 and 26.2 don't apply to: (a) disputes to enforce or protect a party's intellectual property; (b) claims of theft, piracy, invasion of privacy or unauthorized use; or (c) claims for injunctive relief. Either party may take those claims straight to the courts in Section 26.3.
27. Electronic communications and signatures
27.1 Using the Services, emailing us and completing online forms are electronic communications. You consent to receive communications from us electronically and agree that electronic agreements, notices, disclosures and signatures satisfy any legal requirement for writing or a signature.
27.2 If you opt in to text messages from ElevateAI, message and data rates may apply, and you can opt out at any time by replying STOP. See our Privacy Notice, Section 6, for how we handle texting.
28. Notices and contact
28.1 Send legal notices to legal@elevatenext.ai or by mail to ElevateAI, 8 The Green, Ste R, Dover, Delaware 19901, United States. Send billing questions and disputes to billing@elevatenext.ai, privacy and data requests to privacy@elevatenext.ai, and affiliate program matters to affiliates@elevatenext.ai.
28.2 We may give you notice by email to the address on your account, by in-app message, or by posting in the Services. Notice takes effect when sent or posted.
28.3 Phone: +1 212 287 9171.
29. Miscellaneous
29.1 These Terms and the documents in Section 5 are the entire agreement between you and us about the Services and replace any earlier agreements on the same subject.
29.2 We may assign our rights and obligations under these Terms. You may not assign yours without our written consent, consistent with Section 11.
29.3 Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, utility or telecom failures and public health emergencies. This does not excuse payment for Services already delivered.
29.4 If any provision is found unlawful or unenforceable, it is removed and the rest of these Terms stay in effect.
29.5 Our failure to enforce a provision is not a waiver of it. These Terms create no joint venture, partnership, employment or agency relationship. These Terms will not be interpreted against us just because we drafted them.
29.6 California residents: if a complaint with us is not resolved to your satisfaction, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210 or (916) 445-1254.
